iGMS Direct Booking Service Terms

These terms govern your use of the iGMS Direct Booking service. They are additional to the iGMS Terms of Service.

1.Who we are, and how these terms fit together

1.1
The Direct Booking service (the "Direct Booking Service") is provided by AirGMS Technologies Inc. ("iGMS", "we", "us"), 1107 1st Ave #702, Seattle, WA 98101-2944, United States.
1.2
The iGMS Terms of Service (the "Terms of Service") continue to apply to you in full, including the provisions on disclaimer of warranties, limitation of liability, indemnification, confidentiality, governing law and arbitration.
1.3
Where these Direct Booking Terms conflict with the Terms of Service, these Direct Booking Terms control, but only in respect of the Direct Booking Service. The Terms of Service continue to control your iGMS subscription and every other part of the Service.
1.4
By turning on the Direct Booking Service in the iGMS application, you agree to these Direct Booking Terms.
1.5
Capitalised terms not defined here have the meaning given to them in the Terms of Service.

2.Definitions

"Booking Value"
means the total amount payable by a guest for a reservation, including the accommodation charge and any mandatory guest-paid fees such as cleaning fees, and excluding (a) taxes collected on behalf of a taxing authority, and (b) any refundable damage deposit.
"Connected Stripe Account"
means the Stripe account held in your name that you connect to iGMS in order to receive guest payments.
"Direct Booking"
means a confirmed reservation for one of your listings that is both (a) created through your Direct Booking Website, and (b) paid through your Connected Stripe Account.
A reservation that originates from Airbnb, Booking.com, Vrbo, Expedia or any other channel, marketplace or online travel agency is not a Direct Booking. A reservation you create manually in iGMS, or take by telephone, email or any other means outside your Direct Booking Website, is not a Direct Booking, even if the guest first found you through your Direct Booking Website. No Success Fee is charged on any of these.
"Direct Booking Website"
means the direct booking website that iGMS builds and operates for you as part of the Direct Booking Service, together with its associated web address.
"Legacy PRO Plan"
means an iGMS PRO subscription plan purchased before 17 April 2024.
"Success Fee"
means the fee described in section 5.2.
"Website Builder"
means the iGMS Website Builder product, which is charged and provided in accordance with section 4.

3.What the Direct Booking Service includes

3.1

While the Direct Booking Service is active on your account, iGMS will:

  • build and operate a Direct Booking Website for your listings;
  • configure a web address for that website, either an iGMS-provided address or a domain you own;
  • configure guest payments through your Connected Stripe Account;
  • publish and maintain a Google Business listing for your properties where they are eligible;
  • suggest tax settings for your properties, subject to section 13;
  • capture guest contact details from stays processed through iGMS, in accordance with section 10;
  • carry out marketing to your past guests with the aim of generating Direct Bookings for you; and
  • make a specialist available to work with you on setting up and running the service.
3.2
The specific activities listed in section 3.1 may develop over time as we improve the service. We will not reduce the service in a way that defeats its essential purpose without giving you notice under section 15.
3.3
iGMS does not act as your agent, does not contract with guests on your behalf, and is not a party to any reservation between you and a guest. You remain the provider of the accommodation and remain responsible for it, including for your listings, your rates, your availability, your cancellation policy and your compliance with local law.

4.Who can use it, your iGMS subscription and the Website Builder

4.1
The Direct Booking Service is available on all iGMS subscription plans. What is included with it, and what is charged separately, varies by plan, as set out in section 4.2.
4.2

Website Builder. On PRO+ plans and on current PRO plans, iGMS includes the Website Builder at no additional charge for as long as the Direct Booking Service is active on your account.

On all other plans, including HOST, LITE, FLEX and Legacy PRO Plans, the Website Builder is charged separately at the standard rate for your plan, and that charge continues to apply while the Direct Booking Service is active. The Website Builder charge is separate from, and additional to, the Success Fee described in section 5.2.

If your Website Builder charge would begin, change or resume as a result of a change to your subscription plan, we will tell you before it does.

4.3
The Direct Booking Service does not change the price of your iGMS subscription, and does not change the terms of that subscription. You continue to pay your subscription fees, and any add-on charges that apply to your plan, under the Terms of Service.

5.What it costs

5.1

No setup fee, and no monthly fee for the Direct Booking Service. There is no charge to turn on the Direct Booking Service, and there is no recurring monthly charge for the Direct Booking Service itself.

Charges for other iGMS products and add-ons are not affected by the Direct Booking Service and continue to apply, including the Website Builder charge where section 4.2 provides that it is charged separately on your plan.

5.2
Success Fee. You pay iGMS a Success Fee of 4% of the Booking Value of each Direct Booking.
5.3
The Success Fee is charged only on Direct Bookings. It is never charged on reservations from Airbnb, Booking.com or any other channel, and it is never charged on reservations that already existed when the Direct Booking Service was activated on your account.
5.4
If you receive no Direct Bookings, no Success Fee is payable. Charges that apply to your plan independently of the Direct Booking Service, including any Website Builder charge under section 4.2, remain payable.
5.5
Payment processing is separate. Stripe charges its own payment processing fees under your agreement with Stripe. Those fees are not part of, and are not included in, the 4% Success Fee.
5.6
All fees are exclusive of applicable taxes.

6.How the Success Fee is collected

6.1
You authorise iGMS to collect the Success Fee from your Connected Stripe Account at the time the guest's payment for the Direct Booking is captured. You grant iGMS the permissions necessary to do this when you connect your Stripe account.
6.2
Your relationship with Stripe is governed by your agreement with Stripe. You are responsible for keeping your Connected Stripe Account in good standing while the Direct Booking Service is active.
6.3
If iGMS is unable to collect a Success Fee from your Connected Stripe Account, we may invoice you for it, and you agree to pay that invoice.
6.4
The Direct Bookings on which Success Fees have been charged are shown to you in the billing area of the iGMS application. If you believe a Success Fee has been charged in error, tell us at billing@igms.com within thirty (30) days of the charge.

7.Cancellations, refunds and chargebacks

7.1
The Success Fee is earned at the moment the guest pays, because that is the point at which we have delivered what the fee pays for, namely the Direct Booking.
7.2
If a guest later cancels the reservation, or you refund the guest in whole or in part under your own cancellation policy, the Success Fee for that reservation is not refunded to you and is not reduced.
7.3
Exception for reversed payments. If the guest's payment is reversed through a chargeback or a payment dispute, so that you do not keep the funds, iGMS will refund or credit the Success Fee charged on that reservation. Tell us at billing@igms.com when this happens.
7.4
Your cancellation policy toward your guests is yours to set and enforce. iGMS does not set it and is not a party to it.

8.Our twelve month commitment, and renewal

8.1
The twelve month term is our commitment to you. It is not a lock-in for you. When you turn on the Direct Booking Service, iGMS commits to building and operating the service for you for an initial period of twelve (12) months (a "Commitment Term").
8.2
You are not required to keep the Direct Booking Service for twelve months, or for any minimum period. You may cancel it at any time under section 9.
8.3
At the end of each Commitment Term, the Direct Booking Service renews automatically for a further Commitment Term of twelve (12) months on the same terms, unless it has been cancelled.
8.4
iGMS will send you a reminder at least sixty (60) days before each renewal, telling you that the service is due to renew and how to cancel it if you do not want it to.
8.5
Renewal does not, by itself, result in any charge to you. The Direct Booking Service has no recurring fee of its own, and the only amounts payable for the Direct Booking Service are Success Fees on actual Direct Bookings. Charges that apply to your plan independently of the Direct Booking Service, including any Website Builder charge under section 4.2, are unaffected by renewal and continue to apply.

9.Cancelling the Direct Booking Service

9.1
You may cancel the Direct Booking Service at any time, through the iGMS application or by contacting us at support@igms.com. You do not need to give advance notice, and there is no cancellation charge and no exit fee.
9.2
Cancellation takes effect immediately. We stop performing the activities in section 3.1, except as set out in section 10.2.
9.3
Once a Success Fee has been collected on a Direct Booking, you owe iGMS nothing further in respect of the Direct Booking Service. Success Fees already earned are not refunded, except under section 7.3.
9.4
Success Fees remain payable on Direct Bookings created through your Direct Booking Website before cancellation took effect, including where the guest's payment is captured, or the stay takes place, after that date.
9.5
Cancelling the Direct Booking Service does not cancel your iGMS subscription and does not change its terms, including any Website Builder charge that applies to your plan. If you separately cancel your iGMS subscription, the cancellation and refund provisions of the Terms of Service apply to it.

10.Your website, web address and data

10.1
Your web address. If you use a domain you own, it remains yours, and we will disconnect it from the Direct Booking Website on request. If iGMS provides the web address, that address belongs to iGMS and does not transfer to you when the service ends.
10.2
Your website after cancellation. The Direct Booking Website is built and hosted on the iGMS platform and remains our property. After cancellation we keep your Direct Booking Website online for thirty (30) days so that you can transition, honour reservations already made and move to another provider. We take it offline at the end of that period, or earlier if you ask us to.
10.3
Your content. Your listing descriptions, photographs, rates and guest records remain Your Content and remain yours. You can export your guest records from iGMS at any time while your account is active.
10.4
Guest data. Guest contact details captured through the Direct Booking Service are processed in accordance with the iGMS Privacy Policy. You are responsible for complying with the data protection and marketing laws that apply to you, including any consent requirements for marketing to guests in the places where you operate.
10.5
Marketing to your past guests. You authorise iGMS to send marketing communications to your past guests for the purpose of generating Direct Bookings for you. You may withdraw that authorisation at any time by telling us at support@igms.com, and we will stop.

11.Optional add-ons

11.1
Damage protection provided by Safely is optional and is not part of the Direct Booking Service. If you choose it, it is provided by Safely under Safely's own terms and is billed to you at Safely's rates. It is not covered by, and is not included in, the 4% Success Fee.

12.No guarantee of results

12.1
iGMS does not guarantee any level of bookings, revenue or occupancy from the Direct Booking Service.
12.2
Any figures we publish about typical results, including any statement that hosts earn approximately $3,200 per month from direct bookings, are estimates drawn from existing iGMS hosts who already operate direct bookings. Those hosts range from single-property hosts to hosts with more than one hundred properties, so the average is broad and is given for illustration only. It is not a projection of your results and it is not a promise.
12.3
Your results depend on matters outside our control, including your properties, your market, your pricing, your availability and guest demand.
12.4
THE DIRECT BOOKING SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE DISCLAIMER OF WARRANTIES AND THE LIMITATION OF LIABILITY SET OUT IN THE TERMS OF SERVICE APPLY TO THE DIRECT BOOKING SERVICE.

13.Taxes

13.1
Tax settings are your decision. As part of the Direct Booking Service, iGMS may show you suggested tax settings for a property, including suggested tax types and rates to apply to Direct Bookings at that property. These suggestions are provided for your convenience only, to help you configure your own settings more quickly.
13.2
This is not legal or tax advice. iGMS is not a law firm, an accounting firm or a tax adviser, and nothing in the Direct Booking Service constitutes legal, tax or accounting advice. Suggested tax settings are general in nature, are generated from information available to us about the property's location, and do not take account of your particular circumstances. They may be incomplete, out of date or incorrect for your property.
13.3
You remain responsible for your taxes. You are solely responsible for determining which taxes apply to your Direct Bookings, for setting the correct tax types and rates in iGMS, and for collecting, reporting and remitting all taxes due to the relevant authorities. This includes any accommodation, lodging, occupancy, tourist, sales, value added, goods and services or similar tax, and any related registration or filing obligation.
13.4
iGMS does not collect, hold, report or remit taxes on your behalf in connection with Direct Bookings, and does not act as a marketplace facilitator or as an agent for tax purposes in respect of them.
13.5
By using the Direct Booking Service you acknowledge that you have read and understood this section, that you will not rely on suggested tax settings as advice, and that you should consult a qualified tax or legal professional about your own obligations.
13.6
To the fullest extent permitted by law, iGMS is not liable for any tax, interest, penalty or other loss arising from the tax settings applied to your Direct Bookings, whether or not those settings were suggested by iGMS.

14.Suspension and withdrawal of the service

14.1
iGMS may suspend or end the Direct Booking Service on your account, on notice, if you are in breach of these Direct Booking Terms or the Terms of Service, if your Connected Stripe Account is closed, suspended or otherwise unusable, if your iGMS subscription ends, or if we are required to do so by law or by a third-party provider.
14.2
iGMS may withdraw the Direct Booking Service as a product on not less than sixty (60) days' notice to you. If we do, no further Success Fees are charged after the service ends, and section 10.2 applies to your Direct Booking Website.

15.Changes to these terms

15.1
iGMS may change these Direct Booking Terms from time to time on at least thirty (30) days' prior notice, given in the iGMS application or by email to the last email address we have on file for you.
15.2
If you use the Direct Booking Service within thirty (30) days after that notice has been given, your use constitutes acceptance of the revised terms.
15.3
If a change is not acceptable to you, your remedy is to cancel the Direct Booking Service under section 9.
15.4
A change to the Success Fee percentage does not apply to Direct Bookings created before the change takes effect. A change to the Website Builder charging arrangements in section 4.2 applies only to Website Builder charges arising on or after the date the change takes effect.

16.Governing law and disputes

16.1
These Direct Booking Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada and the applicable federal laws of Canada, as provided in the Terms of Service.
16.2
The dispute resolution and arbitration provisions of the Terms of Service apply to any dispute arising out of or relating to these Direct Booking Terms.
